By installing the App from the Shopify App Store, creating an account, or using any part of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the App on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

Video generation requires credits. Credits are allocated based on your subscription plan and may vary based on video length, complexity, and template selection.
All billing is processed through Shopify's Billing API. By subscribing to a paid plan, you authorize Shopify to charge your designated payment method according to your selected plan. You are responsible for any taxes applicable to your subscription.
Unless otherwise specified, unused credits expire at the end of each billing cycle and do not roll over to subsequent periods.
Refund requests are handled in accordance with Shopify's refund policies. We may, at our sole discretion, offer refunds, credits, or other compensation in cases of service issues or dissatisfaction.
We reserve the right to modify our pricing at any time. Price changes will be communicated in advance and will take effect at the start of your next billing cycle.
You may use our App solely for its intended purpose of generating promotional video content for your legitimate e-commerce business.

All content you upload or generate must comply with applicable advertising standards, platform guidelines (including those of connected social media platforms), and relevant laws and regulations.
You retain all ownership rights to your original product images, brand assets, and other content you upload to our App. By uploading content, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, and store your content solely for the purpose of providing our services to you.
Subject to your compliance with these Terms and your subscription status, you own the videos generated through our App and may use them for commercial purposes, including on your Shopify store, social media platforms, advertising, and marketing materials.
The App, including its software, design, features, functionality, documentation, and all related intellectual property, remains our exclusive property. Nothing in these Terms transfers any ownership rights to you.
If you provide feedback, suggestions, or ideas about our App, you grant us the right to use such feedback without compensation or attribution to you.
Our App operates within the Shopify ecosystem. Your use of Shopify is governed by Shopify's terms of service and policies.
If you connect social media accounts (such as Instagram or TikTok), your use of those platforms is governed by their respective terms of service. We are not responsible for the actions or policies of third-party platforms.
Our video generation features utilize third-party AI services. Generated content may be subject to the terms and acceptable use policies of those providers.
We use third-party analytics and advertising services to understand how visitors use our website and to measure the effectiveness of our marketing. These services include:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROMOTIONAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless ProMotionAI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
You may terminate your use of the App at any time by uninstalling it from your Shopify store. Uninstallation will cancel your subscription at the end of the current billing period.
We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Reasons for termination may include, but are not limited to:

Before initiating any formal dispute resolution, you agree to contact us first and attempt to resolve any dispute informally for at least 30 days.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ProMotionAI operates, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts of competent jurisdiction, and you consent to the personal jurisdiction of such courts.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProMotionAI regarding your use of the App.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
We may provide notices to you through the App, via email to the address associated with your Shopify account, or through other reasonable means.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide additional notice through the App or via email. Your continued use of the App after any changes constitutes acceptance of the updated Terms.
